Acceptance of Orders;  Contrary Terms;  Acceptance of Buyer's order is conditioned upon Buyer's assent to the following Terms and Conditions, and any inconsistent provisions of any purchase order or other writing shall not constitute a part of the contract of sale.  If any of these terms and conditions are not acceptable to Buyer, Heinrich Brothers, Inc. must be notified promptly.

   Pricing & Specifications:  All prices reflect Buyer's net cost in U.S. currency.  The prices do not include freight, applicable federal, state, or local taxes, charges and duties, or special crating fees.  Buyer shall pay all such costs, taxes, charges, and duties.  Prices, colors, and specifications are subject to change without notice.  The current volatility in steel, aluminum, and plastic prices have resulted in extreme price fluctuations - all prices must be confirmed by the customer at the time of order.  It is the Buyer's responsibility to determine that the purchased product will work for their application.

   Payment Terms:  Heinrich Brothers, Inc. accepts VISA, Master Card, and American Express credit cards.  Open account terms of net 30 days after shipment are extended to approved firms only.

   Shipping Policy:  Your order is shipped from the nearest warehouse or manufacturing facility.  UPS is used whenever possible.  However, should your shipment exceed UPS size or weight limits, a "Common Carrier" of our choice will be selected to speed your delivery.  All orders are FOB Shipping Point.  Shipping and handling charges will be added the invoice.  Any extra charges for services requested by Buyer, ie., special routing, inside delivery, or pre-delivery notification must be paid by the consignee.

   Damaged Shipments:  Risk of Loss:    (Important Instructions to Consignee)
Buyer should thoroughly inspect all items for shipping damage before accepting delivery and note all damage or shortages on the freight bill before signing.  When pickup is made at the shipper's dock the transportation company acknowledges receipt of the shipment in GOOD CONDITION.  If any shortages or damages are discovered upon delivery, do not accept them until the freight agent makes a damaged or shortage notation on your freight bill.  Your acceptance of the shipment from the Transportation Company, short of what is enumerated on the invoice or packing list, or in damaged condition without proper notation made by the freight agent, is done at your own risk.
   In case of concealed loss or damage it is necessary to notify the delivering carrier at once and request they make an inspection, or the Transportation Companies will not entertain any claim for loss or damage.  If the carrier's agent will not make an inspection, then the consignee should make an affidavit that they notified him (on a certain date) and he failed to do so.  This, with other papers will properly support your claim.  Heinrich Brothers, Inc. cannot be responsible for loss or damage when the Buyer/Consignee gives the Transportation Company a clear signed receipt.
   We are willing to assist you in collecting claims for loss or damage by furnishing all pertinent information concerning the shipment.  This is the extent to which we can do in case of loss or damage.  Claims for loss or damage on shipments cannot be deducted from our invoice, nor payment of the invoice withheld awaiting adjustment of such claims.

   Returned Goods:  Are not accepted unless written authorization has been given by Heinrich Brothers, Inc. and will be subject to manufacturers restocking charges and refurbishing charges plus freight charges to and from distribution or manufacturing points.  Specials or modified equipment are NON-RETURNABLE.  Return of goods MUST be within the first 30 days from the original shipment date.  All returns are subject  to inspection, any missing or damaged equipment will be refused.

   Exclusive Warranty:  All products are warranted by the manufacturer to the extent of the manufacturer's express warranty.  Heinrich Brothers, Inc. or any of its subsidiaries shall not be liable, under any circumstances, for consequential or incidental damages, including, but not limited to labor costs or loss of profits arising in connection with the use of or inability to use products purchased from Heinrich Brothers, Inc. or any of its subsidiaries or contractors.

   Controlling Law:  The validity, construction and enforcement of the purchase agreement between Heinrich Brothers, Inc. and Buyer shall be governed by and interpreted under the laws of the State of Pennsylvania, in the County of Washington.
